{"id":396,"date":"2026-08-08T00:18:07","date_gmt":"2026-08-07T23:18:07","guid":{"rendered":"https:\/\/dundeemrc.uk\/?page_id=396"},"modified":"2026-08-08T00:18:07","modified_gmt":"2026-08-07T23:18:07","slug":"dundee-model-railway-club-constitution","status":"publish","type":"page","link":"https:\/\/dundeemrc.uk\/?page_id=396","title":{"rendered":"Dundee Model Railway Club &#8211; Constitution"},"content":{"rendered":"\n<p class=\"wp-block-paragraph\"><strong>1.&nbsp; Title<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Club shall be called Dundee Model Railway Club, (hereafter referred to as \u201cthe Club\u201d).<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>2.&nbsp; Objectives<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">To advance education, heritage and science and provide recreational facilities and activities with the object of improving the conditions of life for the public benefit.&nbsp; This will be achieved by:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(a) Promoting model railways and its relationship to rail transport by encouraging participation in, and enjoyment of, railway modeling and to display model railways amongst members of the public.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(b) Providing an environment where developing and expanding the understanding, application and knowledge of the skills required to build and operate model railways can be fostered.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(c) Offering our members the opportunity to enjoy the exchange of ideas and knowledge of model building in a social, constructive and enjoyable environment,.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(d) Applying the use of historical research, photographic evidence, ordnance survey mapping, topographical and building structures to enhance the building of layouts.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>3. Membership of the Club<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Membership of the Club shall be open, on application, to anyone over 12 years of age interested in model railways, regardless of sex, age, disability, ethnicity, race, nationality, sexual orientation, occupation, religion, political or other beliefs.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Individuals who wish to become members of the Club must apply using the Membership Application form approved by the Committee and pay the appropriate subscription.&nbsp; Application form must be counter-signed by parent or guardian in the case of applicants under 18 years of age.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">By joining the club, every member agrees to abide by the Club\u2019s Constitution and Rules. The following membership options are available:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">a.&nbsp;&nbsp; <strong>Full Membership.&nbsp; <\/strong>Full Membership is open to any person over the age of 18. &nbsp;Subscriptions will be set as a monthly rate with no additional charge for attending weekly meetings at the club room. &nbsp;&nbsp;&nbsp;Full members will also have full voting rights.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">b.&nbsp;&nbsp; <strong>Junior Membership.<\/strong>&nbsp; Available on the same terms and conditions as (a) above, at a discounted rate which will be open to anyone over the age of 12 to 17 inclusive at the time of joining.&nbsp; Junior members under 16 must be accompanied by a Parent or Guardian whilst at the club room, events or exhibitions<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">c.&nbsp;&nbsp; <strong>Honorary Membership.&nbsp; <\/strong>This membership is bestowed on anyone recognised by the Committee for past support but will not have voting rights.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>4.&nbsp; Subscriptions<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The monthly subscriptions shall fall due no later than 1<sup>st<\/sup> week of the month at rates decided by the Committee and approved by the Annual General Meeting.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Subscriptions will be at rates that will not pose a significant obstacle to participation in the club.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Committee shall have discretionary power to waive or reduce subscriptions.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Any member being 3 months in arrears with their subscriptions will be advised by the Treasurer that any further arrears will result in suspension of membership.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>5.&nbsp; Cessation of Membership<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Members may resign from membership at any time by written notice to that effect given to the Secretary.&nbsp; A member who resigns shall not be entitled to any refund of subscriptions in respect of the remaining period.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Membership shall not be transferable and shall cease immediately on death or on the failure of the member to comply with any condition of membership set out in this Constitution.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Committee shall have the power to suspend a Member when, in its opinion, it would not be in the interests of the Club for the individual to remain a member.&nbsp;&nbsp; Such suspension shall be carried out in accordance with the Disciplinary Procedures set out in Section 11 below.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Any person shall, upon ceasing to be a Member of the club, forfeit all rights to and claims upon the Club, its property and funds.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Upon ceasing Membership of the Club, individuals are required to return all keys, equipment and other club assets.&nbsp; All files kept, either physical or electronic, should be destroyed or deleted upon cessation of Membership.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>6.&nbsp; Management of the Club<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(a)&nbsp;&nbsp; The management of the Club shall be vested in a Committee consisting of:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(1)&nbsp;&nbsp; The Club will be administered by a Chair Person, Secretary, Treasurer and two full members.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(2)&nbsp;&nbsp; All shall be members, be elected at the Annual General Meeting, retire annually and be eligible for re-election.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(3)&nbsp;&nbsp; The Committee shall have the power to fill vacancies and to co-opt members to fulfill a specific task\/duty as deemed necessary.&nbsp; Such co-opted members shall not have a vote at Committee meetings.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(4)&nbsp;&nbsp; An Emergency Committee consisting of the Chairman, Secretary and Treasurer shall have the power to deal with any matter judged urgent by the Secretary and shall report such matters to the next meeting of the Committee.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(5)&nbsp;&nbsp; The Secretary shall convene Committee meetings as required, giving at least 10 days notice of the date and venue of each meeting to the members of the committee by hand, last known postal address or email address.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(6)&nbsp;&nbsp; The quorum for Committee Meetings shall be four persons, present and eligible to vote.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(7)&nbsp;&nbsp; Voting at Committee Meetings shall be on the basis of a simple majority with the Chairman having a second casting vote.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(b)&nbsp; Powers &amp; Duties of the Committee<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Committee shall be responsible for the management of the Club and shall have the following specific powers and duties to:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(1)&nbsp;&nbsp; Make Club rules and regulations to allow for the day to day operation of the Club and its activities.&nbsp; Such Club rules may not supersede or contradict provisions of the Constitution and must be reasonably available to Members.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(2)&nbsp;&nbsp; Make and give receipts, releases and other discharges for any amount payable to the club and for claims and demands of the Club.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(3)&nbsp;&nbsp; Issue, sign, draw, endorse, negotiate, transfer and assign all cheques, bills, drafts, promissory notes, securities and instruments, negotiable and non-negotiable, to operate on the Club\u2019s banking accounts.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(4)&nbsp;&nbsp; Enter into all such negotiations and contracts and rescind and vary all such contracts and execute and do all such acts, deeds and things in the name of and behalf of, the club as they may consider expedient.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(5)&nbsp;&nbsp; Pay all the costs and expenses of, and incidental to, any of the aforesaid matters.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(6)&nbsp;&nbsp; Determine how and by whom any such power shall be executed, operations effected and documents signed.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(7)&nbsp;&nbsp; Organise Club activities.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(8)&nbsp;&nbsp; Setting the membership fees for the forthcoming year.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(9)&nbsp;&nbsp; Committee members should be computer literate and check their email on a regular basis.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>7.&nbsp; &nbsp;Club Meetings<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Annual General Meeting shall be held in April for the purpose of:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(a)\u00a0 Receiving the annual report of the Chairman.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(b)\u00a0 Receiving the Statement of Accounts and Balance Sheet for the financial year.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(c)&nbsp; Electing the Committee for the following year.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(d)&nbsp; Electing Honorary Members where applicable.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(e)&nbsp; Considering any amendments to the Constitution.&nbsp; Any proposed amendments to the Constitution must be received in writing by the Secretary at least 28 days before the date of the AGM and be included in the Agenda.&nbsp; The amendments must be sent out to members for their consideration at least 21 days before the AGM.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(f)&nbsp;&nbsp; Setting the membership fees for the forthcoming year.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(g)&nbsp; Any other notified business.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(h)&nbsp; The voting shall be restricted to voting Members as defined in section 3.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(i)&nbsp;&nbsp; Voting shall be on the basis of a simple majority except for proposals of amendments to the Constitution, which shall require two-thirds majority of those present and voting.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(j)&nbsp;&nbsp; At least 14 days notice shall be given to members of the date, venue and agenda of the meeting by hand, to their last know postal address or email address.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(k)&nbsp; Nominations for Officers shall be made in writing to the Secretary at least 5 days before the meeting.&nbsp; The approval of the nominee must be obtained prior to nomination.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(l)&nbsp;&nbsp; Extraordinary General Meetings can be held on the call of any 2 members by notice in writing to the Secretary.&nbsp; Agenda and reasons shall be circulated to all members through the Secretary at least 2 weeks prior to the meeting date.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>8.&nbsp;&nbsp; Financial Matters \/ Accounts<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Treasurer will ensure proper accounts are kept and provide the Committee with accurate financial reports on at least a quarterly basis.&nbsp; The Club financial records shall always be open to inspection by the Committee.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Treasurer will operate a Bank Account in the name of the Club.&nbsp; The committee shall appoint two authorised signatories for any cheques, which shall be signed by at least two of the authorised signatories.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Club\u2019s Financial Year shall run from 1<sup>st<\/sup> April to 31<sup>st<\/sup> March inclusive.&nbsp; The Treasurer shall present accounts for the previous financial year to the AGM for consideration and copies of these will be available to members at the meeting on request.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">A separate Financial Statement shall be submitted at the AGM detailing the accounts for the clubs own Model Railway Exhibition.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Treasurer will, if requested by any member, show the bank account details within one week of the request being made.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The club will remunerate members for purchasing goods and services on behalf of the club, provided that such arrangements are pre-approved by the Committee.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">No member, either Committee or Full member shall be paid a salary, bonus or fee.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Members can receive a mileage allowance when travelling on club business outwith Dundee city boundaries.&nbsp; This can be claimed on the Expenses Form available from the Treasurer.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>9.&nbsp;&nbsp; Interpretation of Club Constitution &amp; Rules<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Constitution may be added to or amended by resolution at any Annual or Extraordinary General Meeting carried by a majority of at least two-thirds of the members voting thereon.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The Committee shall be the sole authority for the interpretation of the Constitution and of Club rules.&nbsp; The decision of the Committee upon any questions of interpretation or upon any matter affecting the club and not provided for by the Constitution, shall be final and binding on the members except if otherwise directed by the club in an Extraordinary or AGM.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>10.&nbsp; Dissolution of the Club<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">If at the AGM a resolution for the dissolution of the Club shall be passed by a two thirds majority of the Members present, an EGM shall be convened to be held within four weeks to consider the matter.&nbsp; At least two weeks notice must be given to members of the date, venue and<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">agenda of the meeting by hand, postal address or email address.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">At such a properly convened EGM, the members may vote to wind up the Club if not less than 75% of those present support the proposal.&nbsp; If successful, the Committee shall proceed to realise the property of the Club and discharge all liabilities.&nbsp;<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">In the event of the club being wound up, assets such as layouts, club stock and supplies shall be offered to local like-minded model railway clubs.&nbsp; After clearing all outstanding debts the remainder of club funds shall be donated to charities as decided by the club membership.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>11.&nbsp;&nbsp; Disciplinary Procedures<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The club shall not tolerate the physical or mental abuse, harassment, discrimination or defamation of any of its members during, or subsequent to, club events.&nbsp; Any member may be temporary suspended and excluded<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">from the club whilst investigations are ongoing either by the club officials<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">or Police Scotland, if the members conduct has been, or is likely to be, prejudicial to the interest of the club.&nbsp; Reasons for exclusion may include, but are not limited to; inappropriate behaviour (as determined by the Committee) by the member (or relative or friend of the member).&nbsp; Exclusion will be agreed by resolution of a majority of at least two thirds of those present and voting at properly convened, quorate disciplinary committee meeting.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Such member shall have 7 days clear notice of the disciplinary committee meeting sent to them together with details of the case against him or her.&nbsp; The member shall be entitled to attend the meeting and be heard in defence, along with a representative of the club of their choice.&nbsp;&nbsp; They shall not be entitled to be present at the voting or take part in the proceedings other than as the committee shall permit.&nbsp; If the member is a member of the committee, he or she shall not be entitled to vote.&nbsp; The member shall then be informed of the decision in writing for and on behalf of the club.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Any member disciplined or excluded from the club for disciplinary reasons may lodge an appeal to a panel of seven consisting of the chair, three members appointed by the chair and three members nominated by the member.&nbsp; This panel shall have the power by a simple majority vote to annul the disciplinary action or exclusion, with or without the performance of any condition the panel think fit to impose.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>12.&nbsp;&nbsp; Club Property, Club Room &amp; Facilities<\/strong><\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The club shall own the layout(s).&nbsp; The term \u201clayout\u201d is deemed to mean : baseboards, track work, scenery, wagons, coaches, locomotives, electrical devises (attached to or required to operate the layout) and sundry other items donated to, or paid for by, the club.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Members will be free to use their own rolling stock (if suitable) on the layouts in the clubroom.&nbsp; Due regard for this stock must be made by other members and ownership must be respected.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Members will be permitted to use their own rolling stock at Exhibitions if it is deemed in good working order and appropriate for the layout.&nbsp; The final decision will be made prior to the Exhibition by the Committee.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Members are urged to take all reasonable care of club and members property.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Significant modifications to any club layout must be sanctioned by the club committee before commencement.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Subject to the discretion of the committee and, if space allows, members may site private model railway layouts in the club rooms, on the following conditions.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(a)&nbsp; If using club property, private layouts are to be offered for exhibition on the clubs behalf.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(b)&nbsp; Private layouts if not being worked on or offered for upcoming exhibitions are not to be stored in the club without prior consent of the committee.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(c)&nbsp; Other members are able to operate the layout, subject to the owner\u2019s permission after necessary training.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(d)&nbsp; Agreed space is subject to availability and should the club require the space for club projects, they will take priority.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(e)&nbsp; If the club has to move clubrooms all agreements will be null and void and previous agreements do not give a right to a new agreement.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(f)&nbsp;&nbsp; The club will not be held accountable for any of the above items being damaged, lost or stolen while in the club room and are left and stored at the owners risk.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">Subject to the discretion of the committee, and if space allows, members may site private stock in the club rooms, on the following conditions:<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(a)&nbsp;&nbsp; Private stock is kept tidy in storage containers, marked clearly with the owners name upon it.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(b)&nbsp;&nbsp; Private stock stored in the club room, if required, is to be offered for club use when exhibiting.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(c)&nbsp;&nbsp; Agreed space is subject to availability and should the club require the space for group projects, they will take priority.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">&nbsp;(d)&nbsp; If the club has to move clubrooms all agreements will be null and void and previous agreements do not give a right to a new agreement.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">&nbsp;(e)&nbsp;&nbsp; Quantity of stock being stored is at the discretion of the committee.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(f)&nbsp;&nbsp;&nbsp; At any time the committee holds the right to remove all and any storage rights given.&nbsp; Any decisions will require the committee to give formal warning in writing with the reason as to why no less than two weeks prior to the required removal date.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">(g)&nbsp;&nbsp;
